These Terms of Service outline the rules, conditions, and responsibilities that apply when businesses use the Sylk Standard website, request services, or enter into a working relationship with us. They have been put in place to provide clarity, protect both parties, and ensure our services, payments, production terms, and communications are handled with transparency and professionalism.

These Terms of Service (“Terms”) govern your access to and use of the website, services, communications, quote requests, consultations, and apparel production services offered under the trade name Sylk Standard, operated by 2659459 ALBERTA INC. (“Sylk Standard,” “we,” “us,” or “our”).

By using our website, submitting a quote request, contacting us, or engaging our services, you agree to these Terms.

2. Business-to-Business Services Only

Sylk Standard provides services exclusively to businesses, organizations, and commercial clients. Our services are not intended for personal, household, or consumer use.

If you engage Sylk Standard on behalf of a business or organization, you represent that you have the authority to bind that business or organization to these Terms.

3. Scope of Services

Sylk Standard provides business apparel-related services, which may include uniforms, workwear, branded apparel, sourcing guidance, apparel consulting, bulk order coordination, and related business support services.

All services are subject to availability, project suitability, written confirmation, and these Terms.

4. Quotes and Orders

Any quote, estimate, consultation discussion, pricing conversation, mockup discussion, or proposal provided by Sylk Standard is non-binding unless and until confirmed by us in writing.

A project, order, or production arrangement is not considered accepted until:

- Sylk Standard confirms the order in writing, and any required deposit has been paid.

We reserve the right to decline, revise, or withdraw any quote or proposed order before written confirmation.

5. Client Responsibilities

The client is responsible for providing accurate and complete information necessary for the project, including but not limited to:

- business details,

- design instructions,

- product requirements,

- quantities,

- delivery details,

- approval decisions,

and any other specifications required to complete the order.

The client is also responsible for reviewing all written confirmations, invoices, and order details before approving them. Sylk Standard is not responsible for issues caused by inaccurate, incomplete, or late information provided by the client.

6. Deposits and Payment Terms

A deposit is required before production begins.

After the client’s order has been finalized and confirmed, Sylk Standard provides a 3-business-day grace period. During that period, the client may cancel the order before production begins. After the grace period ends, a deposit invoice will be issued. Once the required deposit is received, production will begin.

The deposit paid by the client will be applied as a credit toward the final invoice. After the client receives the product, Sylk Standard will issue the remaining invoice balance.

Unless otherwise agreed in writing:

- All prices are in the stated currency on the invoice,

- Payment deadlines stated on the invoice must be followed,

- Late payments may delay future services, support, or additional orders.

7. Cancellations

An order may be cancelled only during the 3-business-day grace period following written deal closure, provided production has not started, and no deposit has yet been applied to begin production.

No cancellations are permitted after production has started.

Once production has begun, the client remains responsible for the order and all related charges, except where Sylk Standard agrees otherwise in writing.

8. Final Sales Policy

All sales are final unless otherwise agreed in writing by Sylk Standard.

Sylk Standard does not provide refunds for:

- Buyer’s remorse,

- Preference changes, but will apply new changes within the 3-business-day grace period, before the deposit is sent.

or issues outside verified factory defects.

9. Refunds, Replacements, and Defects

Sylk Standard offers remedies per affected unit, not per order.

If a product unit is found to have a verified factory defect, Sylk Standard may, in its discretion:

- Issue a refund for the affected unit, and/or arrange for a replacement of the affected unit.

Refunds or replacements are limited strictly to units with confirmed factory defects. Sylk Standard does not issue order-wide refunds unless expressly agreed in writing.

To request a defect-based remedy, the client must notify Sylk Standard within a reasonable time after delivery and provide sufficient evidence of the issue, including photos or other documentation if requested.

10. Production Specifications and Client Approval

Sylk Standard will work to ensure that designs, samples, colours, mockups, and final production reflect the client’s approved specifications as described and confirmed by the client.

No changes will be made to the approved production specifications unless specifically requested or approved by the client in writing within the 3-business-day grace period.

The client is responsible for carefully reviewing and approving any mockups, descriptions, quantities, specifications, or written confirmations before production begins. Sylk Standard is not liable for errors or dissatisfaction arising from specifications approved by the client.

11. Delivery and Timelines

Any production timeline, delivery estimate, completion date, shipment timeframe, or turnaround time provided by Sylk Standard is an estimate only and is not guaranteed.

Delays may occur due to factors outside our control, including supply issues, shipping disruptions, customs delays, production backlog, client delays in approval, or other operational factors.

Sylk Standard is not liable for losses, missed opportunities, or damages resulting from estimated timelines not being met.

12. Website Use

You agree to use the Sylk Standard website lawfully and only for legitimate business purposes. You may not:

- Misuse the website,

- Attempt unauthorized access,

- Submit false or misleading information,

- Interfere with the operation or security of the website,

or use the website in a way that violates applicable law.

We may restrict or terminate access to the website if we believe misuse has occurred.

13. Intellectual Property

All content on the Sylk Standard website, including text, branding, logos, layout, graphics, and original materials created by us, is owned by or licensed to Sylk Standard unless otherwise stated.

No website content may be copied, reproduced, distributed, modified, or used for commercial purposes without prior written permission from Sylk Standard.

Client-provided designs, branding, names, logos, and other submitted content remain the responsibility of the client. By providing such materials, the client represents that it has all the necessary rights, permissions, and authority to use them. Sylk Standard is not responsible for any misuse of copywrited content.

14. Communications

By contacting Sylk Standard, submitting a form, requesting a quote, or otherwise engaging with us, you consent to receiving communications relevant to your inquiry, quote, order, support request, or business relationship.

These communications may be sent by email, phone, or text message, subject to your preferences, consent status, and applicable law. In Canada, commercial electronic messages generally require consent and must identify the sender and include an unsubscribe mechanism unless an exception applies.

15. No Warranties

To the fullest extent permitted by law, Sylk Standard provides its website and services on an “as is” and “as available” basis, without warranties of any kind except as expressly stated in writing.

We do not guarantee:

- Uninterrupted website access,

- Error-free operation,

- Guaranteed delivery dates,

or results beyond the specific written commitments we make.

16. Limitation of Liability

To the fullest extent permitted by law, Sylk Standard shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business opportunities, reputational loss, or downtime, arising out of or related to:

- Use of the website

- Quote requests

- Consultations

- Delays

- Production issues outside our direct control, or services provided under these Terms.

To the fullest extent permitted by law, Sylk Standard’s total liability for any claim related to an order or service shall not exceed the amount actually paid to Sylk Standard for the specific affected portion of the service or affected units giving rise to the claim.

17. Indemnity

You agree to indemnify and hold harmless Sylk Standard, 2659459 ALBERTA INC., and their officers, directors, employees, and representatives from claims, liabilities, damages, losses, and expenses arising from:

- Your breach of these Terms

- Your misuse of the website

- Your violation of the law

or your submission or use of content, branding, or materials that infringe the rights of another party.

18. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws in force in Alberta, Canada.

Any dispute arising out of or relating to these Terms, the website, or our services shall be subject to the courts of Alberta, unless otherwise required by applicable law.

19. Changes to These Terms

Sylk Standard may update these Terms from time to time. Updated versions will be posted on this page with a revised “Last Updated” date. Continued use of the website or our services after the updated Terms are posted constitutes acceptance of the revised Terms.

20. Entire Agreement

These Terms, together with any written quote confirmation, invoice, approved specifications, Privacy Policy, and any other written agreement expressly incorporated by reference, constitute the entire agreement between the parties regarding the subject matter addressed here, unless otherwise agreed in writing.
